The terms and conditions governing your use of the ComplianceOS platform.

By creating an account, signing in, or otherwise accessing or using the ComplianceOS platform (the “Service”), you agree to be bound by these Terms of Service (these “Terms”). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity and its affiliates to these Terms, and the words “you” and “your” will refer to that entity and its affiliates.
If you do not agree with any provision of these Terms, you may not access or use the Service.
To use the Service, you must create an account by providing accurate, current, and complete information, including your full name, work email address, company name, industry, and company size. You are responsible for maintaining the accuracy of your account information.
You are responsible for safeguarding the password you use to access the Service and for any activity conducted under your account. You agree to notify ComplianceOS immediately of any unauthorized use of your account or any other security breach. ComplianceOS will not be liable for any loss or damage arising from your failure to protect your account credentials.
The Service supports multiple user roles within a workspace, including administrators, compliance reviewers, and finance users. Workspace administrators are responsible for assigning appropriate roles and managing user access. Each user must have their own account; sharing of credentials is prohibited.
You agree not to use the Service to:
You are solely responsible for the accuracy, legality, and appropriateness of all vendor data and documents you upload, store, or process through the Service. This includes insurance certificates, licenses, certifications, tax forms (such as W-9s), and any other compliance documentation. You represent that you have obtained all necessary consents and authorizations from your vendors before collecting, uploading, or storing their information.
The Service provides tools for reviewing and verifying vendor documents, but ComplianceOS does not verify the authenticity, accuracy, or legal sufficiency of any document. You are responsible for making all compliance determinations. ComplianceOS is a tool to assist your compliance workflow; it is not a substitute for legal, regulatory, or professional advice.
The Service offers industry-specific compliance templates (such as DOT requirements for logistics, HIPAA considerations for healthcare, ISO standards for manufacturing, and bonding requirements for construction). These templates are provided as a convenience and do not constitute legal or regulatory advice. You are responsible for ensuring that your compliance program meets all applicable legal and regulatory requirements for your industry and jurisdiction.
The Service integrates with Stripe Connect to facilitate payments to vendors. By using payment features, you agree to the Stripe Connected Account Agreement and the Stripe Terms of Service. ComplianceOS facilitates the connection but is not a party to any payment transaction between you and your vendors.
You are solely responsible for ensuring that all payments made through the Service are authorized, accurate, and compliant with applicable laws. ComplianceOS is not liable for any payment errors, disputes, or regulatory violations arising from your use of the payment features.
The Service is offered through subscription plans with varying features, vendor limits, and pricing. Plan details and current pricing are displayed on our pricing page. All fees are quoted in U.S. dollars and are due in advance of the applicable billing period.
We may offer a free trial period for certain plans. At the end of the trial period, your selected plan will automatically convert to a paid subscription unless you cancel before the trial ends. No credit card is required to start a trial.
Paid subscriptions automatically renew at the end of each billing cycle (monthly or annually) unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period; no refunds are provided for partial billing periods.
We may change our subscription fees upon reasonable notice. Price changes will take effect at the start of your next billing cycle following the notice. Continued use of the Service after a price change constitutes acceptance of the new fees.
The Service, including its software, design, text, graphics, logos, and all related intellectual property, is owned by ComplianceOS and is protected by copyright, trademark, and other applicable laws. You retain ownership of all data and documents you upload to the Service.
Subject to your compliance with these Terms, ComplianceOS grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business operations during the term of your subscription.
If you provide feedback, suggestions, or ideas regarding the Service, ComplianceOS may use such feedback without any obligation or compensation to you.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. COMPLIANCEOS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY COMPLIANCE DETERMINATION MADE USING THE SERVICE WILL BE LEGALLY SUFFICIENT.
The Service is not intended to constitute legal, regulatory, accounting, or professional advice. You should consult qualified professionals for advice specific to your situation.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COMPLIANCEOS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE).
THE TOTAL LIABILITY OF COMPLIANCEOS FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO COMPLIANCEOS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify, defend, and hold harmless ComplianceOS and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
You may cancel your account at any time. ComplianceOS may suspend or terminate your access to the Service immediately, without notice, if you breach these Terms, if your account is inactive for an extended period, or if required by law.
Upon termination, your right to use the Service ceases. ComplianceOS will retain your data for a reasonable period to allow for export, after which it may be permanently deleted. We are not responsible for any loss of data following account termination.
ComplianceOS may modify these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and, where appropriate, sending an email or in-app notification. Your continued use of the Service after the effective date of any changes constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the State of Delaware, United States of America, without regard to its conflict of laws provisions. Any dispute arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware.
